Physician Platform
Agreement

• The Physician warrants that they hold current, valid, and unrestricted registration with the Medical and Dental Council of Nigeria (MDCN), or the equivalent statutory medical council of the jurisdiction in which they are licensed to practice.
• The Physician shall provide the Platform with their MDCN registration number and practicing licence, which the Platform shall verify before activating full consultation privileges.
• The Physician shall notify the Platform immediately of any suspension, revocation, restriction, or disciplinary proceeding affecting their licence, in Nigeria or any other jurisdiction.
• The Physician acknowledges that medical licensure is territorial. The Physician shall only consult with patients who are physically located in a jurisdiction where the Physician is legally licensed to practice, as confirmed by the Platform's location-verification mechanism at the time of consultation.

• Consultations shall be conducted in accordance with the MDCN Code of Medical Ethics and applicable MDCN telemedicine guidance, and shall be limited to conditions reasonably and safely assessable by remote means.
• The Physician shall apply the Platform's clinical escalation protocol for any presentation involving red-flag features, acute deterioration, or findings that cannot be safely excluded without physical examination, and shall refer such patients to in-person care without delay.
• The Physician shall not prescribe controlled substances or other medications restricted from remote prescribing under Nigerian law through the Platform.
• Where the Physician determines that a condition falls outside the safe boundaries of remote assessment, the Physician shall document this determination and direct the patient to appropriate in-person evaluation.

• The Physician shall confirm that the patient has reviewed and accepted the Patient Telemedicine Consent before any clinical consultation proceeds.
• The Physician shall maintain a contemporaneous clinical record of each consultation, including history, assessment, plan, and rationale for any prescription, consistent with standards applicable to in-person practice.
• Clinical records generated on the Platform remain subject to inspection and audit consistent with MDCN requirements and applicable law.

• The Physician shall handle all patient information in accordance with the Nigeria Data Protection Act 2023 (NDPA), including principles of lawful processing, purpose limitation, and data minimisation.
• The Physician shall not download, export, or retain patient data outside the Platform's systems except as strictly necessary for continuity of care, and shall not disclose patient information to third parties without lawful basis or patient consent.
• The Physician shall report any suspected data breach involving patient information to the Platform without undue delay.

• The Physician warrants that they hold professional indemnity or malpractice insurance coverage that extends to telemedicine consultations, and shall provide evidence of such coverage on request.
• The Physician acknowledges that standard indemnity coverage does not automatically extend to remote consultations and it is the Physician's sole responsibility to confirm this with their insurer.
• The Platform functions as a technology intermediary and does not itself provide clinical care; clinical responsibility for each consultation rests with the treating Physician.
• Nothing in this Agreement shall be construed to transfer clinical liability from the Physician to the Platform, save where harm arises directly from a demonstrable failure of the Platform's technology.

• The Physician shall maintain professional conduct consistent with MDCN ethical standards in all interactions on the Platform, including communications, documentation, and patient reviews.
• The Platform reserves the right to suspend or terminate a Physician's access for breach of this Agreement, breach of MDCN guidelines, or conduct that places patient safety at risk.

This Agreement remains in effect for as long as the Physician is registered and active on the Platform, and may be terminated by either party with written notice, without prejudice to obligations relating to patient records and confidentiality, which survive termination.

This Agreement is governed by the laws of the Federal Republic of Nigeria, including the NDPA 2023 and applicable MDCN regulations. Nothing in this Agreement constitutes legal advice; both parties are encouraged to seek independent legal counsel before signing.
